Welcome to Wenning Branding. These Terms of Service explain the rules and conditions for using our website, services, products, and any related platforms operated by Wenning Branding.
By accessing our website, requesting a quote, placing an order, approving artwork, or using any of our services, you agree to these Terms of Service. If you do not agree with these terms, please do not use our website or services.

2. Use of Our Website
You agree to use our website and services only for lawful purposes. You may not use our website to submit false information, upload harmful files, interfere with website functionality, or attempt to access systems or data without permission.
We reserve the right to restrict or terminate access to our website or services if we believe a user is violating these terms.
3. Quotes, Orders, and Project Estimates
All quotes and estimates provided by Wenning Branding are based on the information available at the time of the request. Pricing may change if project details, quantities, materials, shipping costs, artwork requirements, supplier pricing, or deadlines change.
A quote does not guarantee final pricing until the order is confirmed and accepted by Wenning Branding.
4. Payment Terms
Payment terms may vary by project, client, or service type. In many cases, a deposit or full payment may be required before work begins, products are ordered, or production is scheduled.
Invoices must be paid by the due date shown on the invoice. Late payments may result in project delays, paused services, or additional fees.
Wenning Branding reserves the right to withhold final files, products, campaign access, websites, or deliverables until payment has been received in full.
5. Artwork, Proofs, and Approvals
For promotional products, printing, apparel, signage, design work, and similar services, clients are responsible for carefully reviewing all proofs before approval.
Approval may include confirmation of spelling, grammar, colors, layout, logo placement, sizing, quantities, item details, and all other visible elements.
Once artwork or a proof is approved, Wenning Branding is not responsible for errors that were present in the approved proof. Changes requested after approval may result in additional costs or production delays.
6. Color Matching and Product Variations
We make every reasonable effort to represent colors, products, and designs accurately. However, colors may vary between screens, printed materials, fabrics, product surfaces, ink types, embroidery threads, and production methods.
Exact color matching is not guaranteed unless specifically agreed upon in writing.
Product sizes, colors, materials, availability, and specifications may vary slightly due to supplier or manufacturer differences.
7. Promotional Product Orders
Promotional product orders may be subject to supplier availability, production schedules, minimum order quantities, setup charges, shipping costs, and manufacturer policies.
Once an order is approved and submitted to production, it may not be canceled, changed, or refunded unless Wenning Branding and the supplier are able to stop the order before production begins.
Custom branded products are generally not returnable unless there is a confirmed production defect or the final product does not match the approved proof in a material way.
8. Shipping and Delivery
Estimated delivery dates are provided as a courtesy and are not guaranteed unless specifically stated in writing.
Wenning Branding is not responsible for delays caused by shipping carriers, suppliers, weather, customs, inventory issues, production delays, incorrect client information, or other circumstances outside our control.
Risk of loss may pass to the client once the order has been shipped or delivered to the carrier.
9. Client Provided Materials
If you provide logos, images, text, brand assets, fonts, videos, customer lists, or other materials, you confirm that you have the legal right to use and provide those materials.
You are responsible for ensuring that your submitted materials do not infringe on any copyright, trademark, privacy right, or other third party rights.
Wenning Branding is not responsible for legal claims related to client provided materials.
10. Intellectual Property
Unless otherwise agreed in writing, Wenning Branding retains ownership of concepts, drafts, source files, working files, design systems, templates, strategy documents, code, processes, and creative materials created before final approval or outside the specific paid project scope.
Once payment has been made in full, the client receives the agreed rights to use the final approved deliverables for their business purposes.
Native design files, editable files, raw footage, project files, source code, or layered files are not included unless specifically stated in the project agreement or invoice.
11. Website, Marketing, and Digital Services
For website design, social media, advertising, automation, video, AI, or digital marketing services, performance results are not guaranteed. Results may vary based on market conditions, budget, competition, offer quality, audience, website performance, client responsiveness, and other factors.
Wenning Branding may provide strategy, setup, management, creative assets, and recommendations, but we do not guarantee specific revenue, leads, rankings, conversions, views, clicks, or sales.
Clients are responsible for reviewing and approving claims, offers, pricing, promotions, and industry specific compliance requirements before campaigns go live.
12. Third Party Platforms and Vendors
Some services may involve third party platforms, including but not limited to advertising platforms, software providers, hosting companies, suppliers, printers, payment processors, email providers, social media platforms, and shipping carriers.
Wenning Branding is not responsible for outages, policy changes, account restrictions, pricing changes, delays, or errors caused by third party platforms or vendors.
13. Revisions and Scope of Work
Projects include only the services, deliverables, revisions, and timelines specifically stated in the quote, proposal, invoice, or written agreement.
Additional revisions, changes in direction, new requests, rush work, or expanded project requirements may result in additional charges.
14. Cancellations and Refunds
Cancellation and refund eligibility depends on the type of project or order.
Custom products, printed materials, promotional items, design work, video work, marketing campaigns, website work, and completed services may not be refundable once work has started, materials have been ordered, or production has begun.
If a project is canceled after work has started, the client may be responsible for all completed work, time spent, materials ordered, supplier costs, setup fees, and any non recoverable expenses.
15. Confidentiality
Wenning Branding will make reasonable efforts to protect confidential information shared by clients. Confidential information may include business strategies, customer lists, pricing, internal documents, marketing plans, and unpublished creative assets.
This does not apply to information that is publicly available, already known, independently developed, or required to be disclosed by law.
16. Portfolio Rights
Unless the client requests otherwise in writing, Wenning Branding may display completed work, designs, campaigns, products, websites, videos, or branding projects in our portfolio, website, social media, presentations, marketing materials, or case studies.
We will make reasonable efforts not to disclose confidential business information without permission.
17. Limitation of Liability
To the fullest extent permitted by law, Wenning Branding is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or reputational harm.
Our total liability for any claim related to our services or products shall not exceed the amount paid by the client for the specific service or product giving rise to the claim.
18. Indemnification
You agree to defend, indemnify, and hold harmless Wenning Branding, its owners, employees, contractors, vendors, and partners from any claims, damages, losses, liabilities, costs, or expenses arising from your use of our services, your submitted materials, your violation of these terms, or your infringement of any third party rights.
19. Force Majeure
Wenning Branding is not responsible for delays or failure to perform due to events beyond our reasonable control, including natural disasters, severe weather, labor shortages, supplier delays, carrier delays, power outages, internet outages, government actions, pandemics, emergencies, or other unforeseen events.
20. Changes to These Terms
We may update these Terms of Service from time to time. Any updates will be posted on this page with a revised effective date.
Continued use of our website or services after changes are posted means you accept the updated terms.
21. Governing Law
These Terms of Service shall be governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.
